Applies to: All users of Baskit platforms and services, including but not limited to ERP, RiskWatch, Cashflow, and participants in commercial activities such as buyers, suppliers, OEMs, procurement partners, financial institutions, and distribution partners.
Preamble
Welcome to Baskit. These General Terms & Conditions (“Terms”) are a legally binding contract between you (“User,” “You”) and PT Baskit Technology Aplikasi ("Baskit," "We," "Us," "Our"). Baskit is a limited liability company located at CHR Office, Grand Slipi Tower Lt. 9 Unit O, Jl. Lt. Gen. S. Parman No. Kav 22-24, Palmerah, Jakarta Barat, 11480, Indonesia.
These Terms govern your access to and use of the Baskit platform, which includes our websites, mobile applications (including but not limited to ERP, RiskWatch, Cashflow, and commercial services), content, and all related services (collectively, the “Platform”). Depending on the nature of your relationship and services used, additional terms or specific agreements may apply. In case of conflict, those specific provisions will prevail over the general terms for the relevant matter.
By registering for, accessing, browsing, or using the Platform, you agree to be bound by these Terms in full. If you do not agree, you may not access or use the Platform.
Definition
"User": Any individual, business, or legal entity that registers for, accesses, or uses the Platform. This includes but is not limited to buyers, suppliers, software users, OEMs, procurement partners, financial partners, and distributors.
"Services": The full range of supply chain empowerment solutions provided by Baskit, including but not limited to commercial support, financing facilitation, and digital software solutions for distribution businesses.
"Content": All designs, images, text, data, audio, video, software, and programming code found on the Platform. This includes Baskit Content and User Content.
"Baskit Content": All Content owned by or licensed to Baskit.
"User Content": All Content that a User uploads, posts, submits, or transmits to or through the Platform.
"Confidential Information": Any non-public business, commercial, financial, or technical information disclosed by one party to the other in connection with the use of the Platform.
Scope of Services
Baskit provides a technology platform designed to empower supply chain businesses. Our Services include providing digital infrastructure for B2B transactions, software-as-a-service (SaaS) solutions, procurement coordination, and facilitating access to commercial and financial support. The services provided by Baskit are:
Enterprise Resource Planning (ERP): Baskit ERP is a modular system that streamlines operational workflows across sales, procurement, inventory, fulfillment, and finance. It serves as the system of record and action for supply chain actors, enabling users to digitize transactions, track performance in real-time, and manage partner relationships in one unified platform.
Riskwatch: RiskWatch is a shared verification and risk monitoring system that enables users to assess the reliability of their commercial partners. By combining transaction data with credit behavior and market signals, RiskWatch helps mitigate fraud, reduce payment default risk, and foster trust across the ecosystem.
Cashflow: Baskit Cashflow is an embedded finance module that transforms how businesses manage liquidity. It enables instant payouts and flexible payment terms through a combination of proprietary credit assessments, bank partnerships, and payment automation.
User Eligibility & Account Security
Eligibility: To use the Platform, you must be at least eighteen (18) years of age or a legally constituted business entity. If you are using the Platform on behalf of a business, you represent and warrant that you have the authority to bind that entity to these Terms. Users under eighteen (18) years of age may only use the Services with the direct involvement and consent of a parent or legal guardian.
Account Registration: You agree to provide accurate, complete, and up-to-date information during the registration process and to update your account information as necessary to maintain its accuracy. The information and/or documents that may be required are:
Full legal name or registered business name
Valid government-issued identification (e.g., KTP, passport)
Company registration documents (e.g., NPWP, SIUP, NIB)
Business contact information (email, phone, address)
Bank account details for payment or settlement purposes
Baskit reserves the right to approve, reject, suspend, or terminate accounts at its sole discretion, particularly if any information is found to be false, misleading, or incomplete.
Account Security: You are solely responsible for: (1) Maintaining the confidentiality of your login credentials (including username, password, and any verification codes); (2) All activities conducted under your account, whether authorized or not. You agree to: (1) Immediately notify Baskit via our designated support channels of any unauthorized use, suspected breach, or compromise of your account; (2) Refrain from sharing, lending, transferring, sublicensing, or selling your account to any third party. Baskit is not liable for any loss or damage resulting from your failure to comply with these obligations. We reserve the right to suspend or terminate your access if account misuse is suspected.
Credit Authorization & Consent to Access Credit Information
If you are granted, or become eligible to request, any form of payment terms (TOP), financing, or credit facility through the Platform either directly or in partnership with Baskit’s financial partners . You hereby expressly grant the following consent:
Consent to Access Credit Information: You authorize PT Baskit Technology Aplikasi ("Baskit") to access and obtain your credit-related information, including but not limited to credit reports, business information, and financial standing from:
Bank Indonesia systems (e.g., SLIK),
Licensed credit bureaus (e.g., CLIK, CRIF), and/or
Any other authorized financial institutions or data providers.
This information will be used solely for the purpose of:
Evaluating your creditworthiness;
Managing commercial and financial risk; and
Facilitating or administering any current or future financing arrangements or payment terms under your commercial relationship with Baskit.
This consent remains valid unless:
Explicitly revoked in writing by the User, or
The commercial relationship with Baskit is formally terminated.
Baskit reserves the right to deny or discontinue any credit-related services if credit access is denied, revoked, or if the credit profile materially changes.
User Conduct & Prohibited Activities
In using the Baskit Platform, you agree NOT to:
Use the Platform for any unlawful purpose, including fraud, copyright infringement, or other illegal activities.
Upload, post, or transmit any User Content that is obscene, hateful, abusive, defamatory, threatening, or racially, ethnically, or otherwise objectionable.
Infringe on the intellectual property rights (e.g., copyrights, trademarks) of Baskit or any third party.
Damage, disable, overload, or impair Baskit's servers or networks, or gain unauthorized access to any system or account through hacking, password mining, or any other means.
Copy, modify, distribute, or reverse-engineer any part of the Platform or Baskit Content without our express written permission.
Impersonate any person or entity or falsely state your affiliation with any person or entity.
Engage in data scraping, harvesting, or any other automated means of collecting information from the Platform.
Offer for sale any items or services that are illegal, counterfeit, lacking the necessary permits, contravene prevailing social norm, ethics, and morality, or unsafe.
Commercial Terms: Purchase, Sale, and Shipping
Placing an Order: When you place an order, you are making an offer to purchase a product subject to these Terms. All orders are subject to availability and confirmation of the order price.
Payment: Upon placing an order, you will receive an email confirmation. A binding sales contract is formed only when we send a subsequent confirmation that your payment has been received and the goods are being dispatched. You warrant that you are an authorized user of the payment method used and have sufficient funds. Baskit is not liable for any loss arising from payments made to any party or method other than those specified by us.
Pricing & Refunds: We strive for accuracy, but errors in pricing or availability may occur. If we discover an error, we will notify you and offer the option to reconfirm at the correct price or cancel. If we cannot contact you within three (3) business days, the order will be cancelled, and a full refund will be issued if payment has been made.
Refund Conditions: Refunds are generally non-refundable except in specific cases. A refund may be issued if:
The User paid more than the product's actual price.
The seller is unable to fulfill the order (e.g., out of stock).
The seller fails to meet an agreed-upon shipping deadline.
Baskit, in its sole discretion, determines a refund is warranted.
A mandatory condition for refund eligibility in cases of damaged or incorrect items is the presentation of a clear, unedited product unboxing video.
Discount Codes: Discount codes are non-transferable and may only be applied to purchases made through the account to which they were offered.
Shipping: Baskit partners with third-party logistics providers. All delivery services, costs, timelines, and guarantees are managed by the logistics company. Any issues arising from the delivery process (damage, loss, delay) are the sole responsibility of the logistics company. Baskit will, however, provide reasonable assistance in facilitating dispute resolution between the User and the logistics provider.
Confirmation of Receipt: Users must confirm receipt of their order. Baskit provides a 3-day grace period from when the delivery status is marked "delivered" for confirmation. Once confirmed, you assume responsibility for any issues that may arise thereafter.
Return: We understand that there may be instances where received products do not meet expectations. To ensure your convenience and satisfaction, we have established a product return policy.
Products may be returned if they meet one or more of the following conditions: damaged or defective, not matching the order, incomplete, expired, non-functional, abnormal color change, abnormal texture change, or abnormal aroma change ("Defective Products").
Return requests must be submitted within 3 calendar days from the date the product is received by the Buyer. Following this, Baskit will verify the request and process the product return in accordance with the applicable terms
Intellectual Property & Content
Baskit's IP: Baskit retains all rights, title, and interest in and to the Platform and all Baskit Content, including all underlying software, algorithms, and branding. You are granted a limited, non-exclusive, revocable license to use the Platform as intended by these Terms.
User Content: You retain ownership of your User Content. However, by posting User Content on the Platform, you grant Baskit a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, copy, display, perform, distribute, adapt, and promote that Content in connection with operating and promoting the Platform. You waive all moral rights in your User Content.
Baskit Blog: Content from the Baskit Blog may be used for personal, non-commercial purposes only, in accordance with any regulations specified for that content.
We do not permit or tolerate the uploading of any content to the Platform that infringes upon the intellectual property rights of any party. Users who violate this provision may be subject to sanctions in accordance with our policies and applicable laws and regulations.
Confidentiality
Both parties agree to protect all Confidential Information received from the other party with the same degree of care they use to protect their own confidential information. This information shall not be used for any purpose outside the scope of these Terms or disclosed to any third party without the prior written consent of the disclosing party.
Data Privacy
Baskit collects, uses, stores, and shares your data in compliance with the applicable laws of the Republic of Indonesia. Our use of your personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you consent to the data practices described therein.
Suspension, Termination, and Blacklisting
Baskit reserves the right to suspend or terminate your access to the Platform, without prior notice, for any breach of these Terms. This may include blocking your IP address. In cases of serious violations, fraud, or non-payment, Baskit may report your actions to the authorities and/or place you on a platform-wide blacklist. Termination for breach of these Terms does not entitle you to a refund of any fees paid.
Disclaimers and Limitation of Liability
The platform and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Baskit disclaims all warranties, express or implied.
Baskit is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. This includes any loss of data, use, goodwill, or other intangible losses resulting from:
your access to or use of, or inability to access or use, the platform;
any conduct or content of any third party on the platform;
unauthorized access to, use of, or alteration of your transmissions or content
In no event shall Baskit's total liability for all claims related to the services exceed the amount you paid to Baskit, if any, in the six (6) months prior to the event giving rise to the liability.
Indemnity
You agree to defend, indemnify, and hold harmless Baskit, its affiliates, directors, officers, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any law or the rights of a third party.
Anti-Bribery and Code of Conduct
Baskit maintains a zero-tolerance policy for bribery and corruption. Users agree to conduct their business on the Platform in full compliance with all applicable anti-bribery laws and to adhere to the highest ethical standards.
Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
Dispute Resolution: The parties agree to first attempt to resolve any dispute amicably through good-faith negotiation for a period of sixty (60) days. If the dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the South Jakarta District Court.
General Provisions
Changes to Terms: Baskit reserves the right to amend, delete, or add new terms and conditions to this Agreement at any time, either by providing notice to the User or without prior notice to the User. Any changes to this Agreement shall become effective immediately upon publication. The User is responsible for regularly reviewing this Agreement to be aware of any changes.
Electronic Communications: You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically (via email or platform notification) satisfy any legal requirement that such communications be in writing.
Third-Party Links: The Platform may contain links to third-party websites. Should you access such links, we advise you to review and understand the terms and conditions as well as the privacy policy of those third-party websites. Baskit does not endorse, control, or assume responsibility for the content, products, services, or practices offered by these third-party sites.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
This Terms constitute an integral and inseparable part of any other written agreement between the User and Baskit.
Force Majeure
Our Platform may experience interruptions caused by events beyond our control or capability. This includes, but is not limited to, natural disasters, power supply disruptions, telecommunications failures, government policies, hacking, server issues, or interruptions in services provided by third parties (hereinafter referred to as "Force Majeure")
You agree to indemnify Us from any claims for damages, whether material or immaterial, and any form of liability, should We be unable to facilitate services, including fulfilling instructions you provide through the Platform, either partially or wholly, due to a Force Majeure
